ACCEPTABLE USE POLICY
This Acceptable Use Policy (“AUP”) is applicable to the Customer and the Customer’s Users of the Services provided by TEL CABLES NIGERIA LIMITED, and it contains exclusions and limitations of the liability of TELCABLES and its affiliates and imposes legal obligations on the Customer. By using the Services, the Customer agrees to the terms of this AUP. If the Customer does not agree to the AUP, please notify TELCABLES. The Customer should print a copy of this AUP and keep it for record purposes. Please read the terms and conditions carefully. All the terms and conditions are important, but please pay special attention to the parts that are inside a box with bold writing. These parts contain information about those terms and conditions that have important consequences for the Customer. The wording in the boxes is only intended to bring the terms and conditions to the Customer’s attention, and to explain their nature and effect. They are aids to understanding only and are not terms and conditions themselves. They do not limit the meaning or application of the provisions of this AUP, and do not apply to situations and examples described in the boxes or to similar situations or examples.
OVERVIEW
This AUP is designed to protect Telcables’ Services, Customers and Users as well as other internet users from the improper, illegal, unacceptable and/or prohibited use of Telcables’ networks, services, systems or equipment. The following is TELCABLES Acceptable Use Policy (“AUP”) for the use of TELCABLES Services by Customer and its Users. The Customer hereby agrees to adhere to this AUP, and to formally communicate this AUP to users of the Customer’s Services obtained from TELCABLES.
For the purposes of this AUP, the following terms shall have the meanings assigned to them below, namely:
(i) “TELCABLES” means TELCABLES, Ltd and/or any of its subsidiary or affiliated companies.
(ii) “TELCABLES Services” means the provision of international fibre bandwidth capacity more fully described in the agreement entered into between TELCABLES and the Customer or any part thereof.
(ii) “Customer” means the party which has entered into an agreement with TELCABLES and to whom TELCABLES Services will be provided.
(iv) “Customer’s Services” means those services provided by the Customer to Users, utilizing the TELCABLES Services.
(v) “User” means any party which uses the Customer’s Services.
Capitalized terms not defined herein shall have the meanings given to them in the MSA.
All Customers of TELCABLES must read and comply with this Acceptable Use Policy and, where such Customers provide services to their own users (e.g. resellers or downstream service providers), take all reasonable steps to ensure that their own users are aware of and comply with this Acceptable Use Policy or an acceptable use policy with terms the same or substantially similar to this Acceptable Use Policy, including, where necessary, terminating access for any such users who do not comply with the Acceptable Use Policy. Where the context requires references to “Customer” in this Acceptable Use Policy will be deemed to include the Customer’s users or customers.
By using any of the Services, a customer acknowledges that it has read, understood and agrees to comply with the Acceptable Use Policy. Customers must also ensure that the terms under which they provide services to their own users require that each such user acknowledges that they have read, understood and agreed to abide by this Acceptable Use Policy or an acceptable use policy with terms the same or substantially similar to this Acceptable Use Policy. Breaches of the Acceptable Use Policy by a user who obtains access via a customer (e.g. resellers or downstream service providers) will also be considered to be a breach of the Acceptable Use Policy by that Customer.
The above clause constitutes an assumption of liability and risk by the Customer. The above clause also limits the Customer’s rights and remedies against the Customer, and this clause limits and excludes the Customer’s right to recover or make claims for losses, damages, liability or harm the Customer may suffer. The Customer will also be responsible for, and accepts various risks, damages and injury which may be suffered by the Customer.
Each Customer must report to TELCABLES by e-mail to geral.ng@telcables.ng any violations of the Acceptable Use Policy promptly, and not later than 7 days/hours, after first becoming aware of such violation and shall provide all reasonable assistance to TELCABLES to investigate and resolve any reported claims, complaints and/or problems arising out of the Services.
Customers must immediately report to TELCABLES by e-mail to geral@telcables.ng any network issue that might compromise the stability, continuity or security of the Services.
Customers must co-operate with TELCABLES and any properly authorised law enforcement or regulatory authority or body to investigate claims of criminal, illegal or other inappropriate behaviour.

2. ACCEPTABLE USE
The Customer and/or a User may use TELCABLES Services for any legal activity that:
complies with the provisions of this AUP and any other agreements entered into between the User and the Customer;
complies with current good international internet practice or any permitted use under local legislation; and
does not involve any unacceptable use or uses, as are set out below.
UNACCEPTABLE USE
The following activities and uses of the TELCABLE Services are defined by Telcables [as expressly prohibited and are unacceptable uses of the TELCABLE Services. The prohibited and unacceptable uses listed below are non-exhaustive and intended for guidance only.
The following are unacceptable uses of TELCABLES Services:
the transmission, storage or distribution of any material or content where such action would violate any applicable laws including, without limitation, laws prohibiting child pornography; obscenity; discrimination (including (without limitation) racial, gender or religious slurs) and hate speech; or speech designed to incite violence or hatred, or threats to cause bodily harm.
the creation or transmission (other than for properly supervised and lawful research purposes) of any offensive, obscene or indecent images, data or other material, or any data capable of being resolved into obscene or indecent images or material.
the transmission, storage and distribution of any material or content where such action violates any intellectual property laws including laws concerning local and international copyright, trademarks and/or trade secrets.
any effort to use TELCABLES or Customer’s Services in a way that circumvents or would circumvent the user authentication or security of any host, network or account (“cracking” or “hacking”).
the forging of any TCP-IP packet header (spoofing) or any part of the header information in an email or a newsgroup posting.
any attempt to use TELCABLES or Customer’s Services in a way that breaches or would breach the security of another user’s account or that gains or would gain access to any other person’s computer, software, or data or otherwise threaten another person’s privacy, without the knowledge and consent of such person.
any activity which threatens to disrupt TELCABLES or Customer’s Services through “denial of service attacks”; flooding of a network, or overloading a service or any unauthorized probes of other networks.
any activity which threatens to introduce or introduce viruses or any other destructive materials or data or code which is able to corrupt, interfere with, jeopardise, disrupt, disable, harm or otherwise impede in any manner the operation of a computer system or hardware or software.
any unsolicited mass mailing activity including direct marketing; spam and chain letters for commercial or other purposes, without the prior consent of the recipients of those mails.
any failure to secure a server that is connected via TELCABLES or Customer’s Services to the Internet against being abused by third parties as an open relay or open proxy.
scanning the networks of others for vulnerabilities without authorization.
executing any form of network monitoring (e.g. using a packet sniffer) or otherwise engaging in any monitoring or interception of data not intended for the Customer without authorization.
simulating communications from and/or the website or other service of another entity in order to collect identity information, authentication credentials, or other information from the legitimate users of that entity’s service (phishing).
furnishing false or incorrect data on the signup form.
unauthorized use of another party’s mail server as a relay without prior consent from its owner.
the unauthorized or attempted unauthorized use of any computers, machines or networks;
Any other use which, although not expressly mentioned herein, is similar or analogous to a specified unacceptable use.
Any other use which TELCABLES, exercising its reasonable discretion, from time to time determines and notifies to the Customer in writing constitutes an unacceptable use.
4. CONSEQUENCES OF A BREACH OF THE AUP
TELCABLES reserves the right to monitor usage on the Customer’s Services, but is under no obligation to do so.
Should it be discovered or otherwise determined that the Customer or a User is utilizing the Customer’s Services for an unacceptable use (as set out above) then, in its sole discretion, TELCABLES may suspend use by the Customer or that User of the Customer’s Services without prior notice until such time as the unacceptable use has ceased and the User has given TELCABLES a written notice of such discontinuation and an undertaking (to TELCABLES satisfaction) that the User shall take all such steps as are required to ensure that such unacceptable use does not re-occur.
TELCABLES may suspend the Customer’s use of the TELCABLES Services for a duration as is reasonably necessary for TELCABLES to protect its network, systems, and other Customers and until such time as the unacceptable use by the Customer has ceased and the Customer has provided a written notice of such discontinuation and undertaking, in a form and content satisfactory to TELCABLES, that it shall ensure that such unacceptable use of the TELCABLE Service does not re-occur.
Customer is responsible for the activities of its Users and agrees and acknowledges that the violation of this AUP by its User shall be deemed to be a violation by the Customer.
Notwithstanding the foregoing, TELCABLES may take any other action which it deems appropriate against the Customer or a User for any violation hereof, which action may include (without limitation) the termination of the Customer’s Services to that User, or the termination of the TELCABLES Services to the Customer.
TELCABLES reserves the right to, where feasible, implement technical mechanisms to prevent any violation of the Acceptable Use Policy. In addition, TELCABLES reserves the right to charge the Customer to cover administrative costs associated with the prohibited activities of the Customer including, but not limited to, recovery of the costs of identifying offenders and removing them from or discontinuing providing them Service, in an amount (i) equal to TELCABLES actual expenses incurred in preventing or responding to such activity, or (ii) up to $10,000 (US Dollars), whichever is greater.
5. DISCLAIMER
While TELCABLES reserves the right to edit or remove any content that it deems to be in breach of the Acceptable Use Policy or is otherwise harmful or offensive, TELCABLES does not intend to review, monitor or control content sent or received by Customers using the Services unless required by law and accordingly TELCABLES accepts no responsibility or liability to Customers or any other person for the content of any communications that are transmitted by or made available to Customers or their users, regardless of whether they originated from the TELCABLES Network or the Services.
In no event shall TELCABLES be liable to any user of its Services (Customer or end user) nor any third party for any direct, indirect, special or consequential damages for actions taken pursuant to this AUP, including, but not limited to, any lost profits, business interruption, loss of programs or other data, or otherwise.
The above clauses limit your rights and remedies against TELECABLES, and these clauses limit and exclude the Customer’s rights to recover or make claims for losses, damages, liability or harm that the Customer may suffer. The Customer will also be responsible for, and the Customer accepts, various risks, damages, harm and injury which may be suffered by the Customer.
INDEMNITY
The Customer agrees to indemnify, defend and hold TELCABLES, its officers, directors, shareholders, employees, agents, licensors, subsidiaries and affiliates harmless from and against any and all claims, actions, demands, liabilities, losses, damages, expenses and costs, including attorneys’ fees, arising from any violations of this AUP, misuse of the TELCABLES Services or infringement of intellectual property rights.
Changes to the AUP
TELCABLES reserves the right to make changes to this AUP at any time with prior notice to its Customers, such changes shall be effective upon posting of such changes on its web site at www.telcables.ng
Interpretation and miscellaneous provisions
Unless the context provides otherwise or it is expressly stated to the contrary:
the AUP and the relationship between the Customer and TELCABLES shall be governed by the laws of the Republic of Nigeria.
the termination of any contract created by this AUP will be without prejudice to any other rights or remedies that the Customer or the TELCABLES may be entitled to under the AUP or at law, and will not affect any of the TELCABLES or the Customer’s accrued rights or liabilities nor the coming into or continuance in force of any provision of this AUP which is expressly or by implication intended to come into or continue in force on or after such termination;
